This agreement is a split and revised

version of the "skshopee Platform Service Agreement". From the date of publication of this agreement, the relevant content of skshopee sellers in the "skshopee Platform Service Agreement" referred to everywhere in skshopee refers to this agreement.

service term are only used to help you understand the purpose expressed in the terms, and do not affect or limit the meaning or interpretation of the terms of this agreement. 1. Definition

skshopee: refers to the e-commerce platform

website (website: www.skshopee.com or the URL of the computer or mobile device Internet that skshopee modifies from time to time according to business needs) and client ( Such as mobile APP, etc.).

Seller: Refers to the legal entity that

operates goods or services on skshopee, and may also be referred to as "you" in this agreement.

Consumer: Refers to any natural person or

Seller service: refers to the Internet

Rules: Refers to all rules, implementation

Payment service: refers to the

"payment" software service system provided by SamsungPay. (hereinafter referred to as "payment company") to the seller and the accompanying payment collection and payment service provided for the seller.

identity authentication information or are determined by skshopee to be the same person as the actual controller of multiple accounts are considered to be the same user.

2. Scope and effect of the agreement

2.1 [Agreement Scope] The content of this

agreement includes the text and attachments of the agreement, the "Consumer Protection Service Agreement" and all relevant rules that skshopee has issued or will subsequently issue and notify you in accordance with the law. The relevant rules of skshopee are an integral part of this agreement, and have the same legal effect as the text of this agreement. If you use skshopee seller service, you are deemed to agree to all the contents of this agreement. Unless otherwise stated or signed an agreement, any expansion of the scope of service or enhancement of software functions by skshopee based on the purpose of improving consumer and seller experience, platform service upgrades, etc. shall be bound by this agreement.

2.2 [Agreement Effectiveness] When you

click to sign this agreement online, it means that you have fully read, understood and accepted the entire content of this agreement, and this agreement is legally binding between you and skshopee. If you do not agree to this agreement If you cannot accurately understand the meaning of the terms or skshopee's interpretation of the terms, you should immediately end the process of creating a store or stop the store business activities.

This agreement is a supplementary agreement

to the "skshopee Platform Service Agreement". For the content not agreed in this agreement, the "skshopee Platform Service Agreement" shall prevail; if this agreement is inconsistent with the "skshopee Platform Service Agreement", this Agreement shall prevail.

3. Seller Services and Specifications

3.1 Account use and information submission

3.1.1 [Account Use] You must use the

skshopee platform account to log in to the skshopee platform during the process of using the seller's service, and you should properly keep the account and password information by yourself. Since your account is associated with your personal information and skshopee business information, your account can only be used by you. Without skshopee's consent, your direct or indirect authorization to a third party to use your skshopee account or obtain information under your account is invalid. Except for the fault of skshopee, you shall be responsible for all behavior results under your account (such as signing agreements online, publishing and disclosing information, etc.), and the behaviors completed through your account are deemed to be your own behavior or have been fully authorized by you. If skshopee judges that the use of your account may endanger your account security and/or skshopee platform information security according to the breach determination procedures and standards agreed in the skshopee rules, skshopee may refuse to provide corresponding services or terminate this agreement.

3.1.2 [Information submission] If you want

to use the services under this agreement, you must submit relevant information and supporting documents in accordance with relevant laws and regulations, relevant rules of skshopee, and page prompts. You understand and agree that you are obliged to ensure that the information and materials you provide are true, legal, accurate and valid, and update them in time if any changes occur. Based on relevant laws and regulations, platform management and other requirements, you agree that skshopee may conduct spot checks on the information and supporting documents you submit from time to time and require you to submit more information or supporting documents for the aforementioned purposes. You understand and agree that skshopee only reviews applications for seller information, certification documents, store creation, and category publishing permissions based on the general public's knowledge. Unless otherwise stipulated by law, skshopee will not be responsible for sellers' losses caused by relying on the review results. Take responsibility.

3.2 Store Management

3.2.1 [Store Creation] By creating a store

on skshopee, you can publish any product in the product library of skshopee's cooperative suppliers and reach transactions with other users. Based on the management needs of skshopee, you understand and agree that the same user can open multiple stores on skshopee, and skshopee can close other associated stores that you have opened on skshopee at the same time, unless otherwise stipulated in the relevant rules of skshopee.

3.2.2 [Change of the store operator] Due to

the inseparability of the store and the account, the change of the store operator is essentially the transfer of the account of the store operator. The relevant requirements and restrictions on the change of the store operator shall apply to the "skshopee platform service agreement" Article 3.2 account The terms of transfer, that is, because the store is associated with your business information and skshopee’s business information and may involve consumer interests, only when there are legal provisions, judicial rulings, or consent of skshopee, and in compliance with the conditions and procedures for changing the store’s business entity stipulated in skshopee’s rules , you can change the business entity of the store. Once the operating entity of your store is successfully changed, the rights and obligations under your account will be transferred together. In addition, your store/account cannot be transferred in any way, otherwise skshopee may terminate the service provided to the account and has the right to pursue your breach of contract, and the resulting responsibilities and consequences shall be borne by you.

3.2.3 [Store Closing] If you temporarily

close your store by removing all products from the shelves, you shall continue to undertake transactions such as delivery, return and exchange, warranty repair, rights protection complaints and other transactions for the transactions that have been reached before your store is closed Guarantee responsibility.

If your store continues to have no products

on sale for a certain period of time, skshopee can also close your store according to skshopee rules. Closing the store according to the above agreement will not affect your accumulated credit.

3.3 Sales and promotion of goods and/or

services

3.3.1 [Product and/or service information

release] Through the services provided by skshopee, you have the right to publish product and/or service information on skshopee in the form of text, pictures, videos, audios, etc., solicit and find trading partners, and conclude transactions . You represent and warrant that you have the corresponding and legal rights to the information you publish, that the information you publish and the actions you implement are in compliance with relevant laws and regulations, national mandatory standards and this agreement, and you are responsible for the management of the store Obligations, immediately delete the information in your store that violates the relevant laws and regulations of the state and the provisions of this agreement, otherwise, skshopee may delete or block the information released by you according to law or in accordance with this agreement.

3.3.2 [Prohibited information] You should

ensure that the information you publish does not contain the following content:

(1) Violating the prohibitive provisions of

the laws and regulations of the user's country;

(2) Political propaganda, feudal

superstition, obscenity, pornography, gambling, violence, terror or abetting crimes;

(3) Fraudulent, false, inaccurate or

misleading;

(4) Violating the intellectual property

rights of others or involving third-party business secrets and other proprietary rights;

(5) Insulting, slandering, intimidating,

involving other people's privacy, etc. infringing on the legitimate rights and interests of others;

(6) There are viruses, Trojan horses,

crawlers and other malicious software and program codes that may destroy, tamper, delete, or affect the normal operation of any system of skshopee, or secretly obtain data and personal data of skshopee and other users without authorization;

(7) Others that violate social public

interests or public morals or are not suitable for publishing on skshopee according to relevant skshopee agreements and rules.

3.3.3 [Scope of Prohibited Sales] The goods

and/or services you publish on skshopee have corresponding rights, and you are not allowed to sell the following goods and/or provide the following services on skshopee:

(1) Prohibited or restricted by the state;

(2) Violating the intellectual property

rights or other legitimate rights and interests of others;

(3) skshopee rules, announcements, notices

or agreements signed by each platform and you have clearly stated that they are not suitable for sale and/or offer on skshopee.

Based on the Internet-related

characteristics, you understand and know that the products you publish on skshopee may be browsed and purchased by consumers in different countries and regions around the world.

3.3.4 [Display, marketing and promotion]

skshopee will display the products and/or services you sell through skshopee, and provide users with functions such as information classification, keyword search, screening and collection to better match user needs, and respond accordingly The display results of the website may be comprehensively determined by various factors such as price, sales volume, inventory, credit evaluation, brand, service level, compliant operation, user demand preferences, search habits, and competitiveness.

You have the right to decide on the

marketing and promotion methods of your products and/or services. skshopee also provides you with a variety of marketing and promotion tools, and will launch marketing activities from time to time according to market demand and the seller's operating conditions. Before you sign up for the above activities, you have fully understood that the qualifications and effects of the activities may be affected by factors such as activity positioning, product/store competitiveness, comprehensive ranking, and activity cooperation. Once you choose to sign up, it means that you promise to always Comply with the relevant rules and requirements of the corresponding activities. Without the consent of skshopee, you promise not to quit during the event, and jointly ensure a good user experience and a stable and orderly development of the event.

3.3.5 [Guarantee of transaction order] You

should abide by the principle of good faith and earnestly fulfill your transaction commitments during the transaction process.

You should maintain the healthy competition

order in the skshopee market, and you must not belittle or slander competitors, and you must not interfere with any transactions or activities on skshopee, and you must not use any improper means to enhance or attempt to enhance your own credit, and you must not interfere or attempt to interfere with skshopee in any way normal operation.

3.3.6 [Taxing taxes according to law]

Paying taxes according to law is the obligation of every citizen and enterprise. Currently, this platform bears tax expenses for all users according to law and provides tax-free services, including personal income tax, enterprise value-added tax, commodity import and export tax, etc. Therefore, any transactions on this platform no longer need to pay any tax, and the tax exemption deadline sk will be notified separately.

3.4 Consumer protection

[Responsibility subject] You understand and

agree that, as the responsible subject of consumer protection, you should perform various obligations of consumer protection in accordance with relevant laws and regulations, the "Consumer Protection Service Agreement" and relevant rules of skshopee, including basic consumer protection services such as The truthful description of the product, the 7-day return without reason, the performance of the special transaction agreement, the payment of the deposit, etc., are subject to the "Consumer Protection Service Agreement" and the relevant rules of skshopee.

3.5 Transaction Dispute Handling

[Transaction Dispute Resolution] If you

have a dispute with other users during the skshopee transaction, you or any other user has the right to choose the following methods to resolve:

(1) Independent negotiation with the

opposing party to the dispute;

(2) Use the dispute mediation service

provided by skshopee;

(3) Request mediation by consumer

associations or other legally established mediation organizations;

(4) Complain to the relevant administrative

department;

(5) Submit to an arbitration institution

for arbitration according to the arbitration agreement (if any) reached with the opposing party to the dispute;

(6) File a lawsuit to the local joint

court.

[Platform mediation service] If you use

skshopee's dispute mediation service in accordance with skshopee's rules, it means that you recognize and are willing to perform skshopee's customer service or public reviewer ("prescription mediation") as an independent third party based on the dispute facts it has learned And the mediation decision made in accordance with the rules of skshopee (including adjusting the transaction status of the relevant order, deciding to pay all or part of the disputed amount to one or both parties of the transaction, etc.). Before skshopee's mediation decision is made, you can choose the above-mentioned (3), (4), (5) and (6) methods (hereinafter referred to as "other dispute resolution channels") to resolve the dispute to suspend skshopee's dispute mediation service.

If you are dissatisfied with the mediation

decision, you still have the right to use other dispute resolution channels to resolve the dispute, but you should still implement the mediation decision first before obtaining a final decision through other dispute resolution channels.

3.6 Data usage and information

In order to promote the seller's store or its products, skshopee can publicize the total transaction volume of your store, the transaction volume of a certain category or a single product during your participation in the official market activities held by skshopee (including "Double Twelve", etc.), The above information can also be used for publicity and promotion.

3.6.3 [Authorized Use] To the extent

permitted by law, for the purpose of promoting related products and/or related brands, you agree to grant skshopee free of charge the various information (including Commodity trademarks, logos, texts, pictures, etc.) for copying (such as simultaneous display on multiple clients), modification (such as fine-tuning to adapt to the mobile visual experience), adaptation (such as adding design elements for the overall activity of the platform), translation (such as for Translation to meet the browsing needs of users around the world) and the right to sublicense third parties based on the above purposes and methods.

3.6.4 [Data usage] All rights to all

3.6.5 [Personal Information Protection] You

must strictly abide by the requirements of relevant laws on network security and data protection. 3.6.7 [Trade Restrictions] Please pay

attention to and strictly abide by the laws and regulations related to import and export control, trade restrictions and economic sanctions that may affect your transaction behavior, so as not to cause losses to you or buyers, and ensure that you abide by the relevant software applicable to this platform All laws and regulations related to the import and export of technology and services. Based on the need to maintain the transaction order and transaction security of the skshopee platform, if you violate the aforementioned commitments, skshopee may take the initiative to remove products from the shelves and close relevant transaction orders when discovering the above situation.

3.6.8 [Subject information] Under this

agreement, the skshopee seller service provider may change according to skshopee’s business adjustments. After the change, the skshopee seller service provider will perform this agreement with you and provide services to you. skshopee seller service The change of provider will not affect your rights and interests under this agreement. skshopee seller service providers may also be added to provide new seller services. If you use the new seller services, you are deemed to agree that the newly added skshopee seller service providers will perform this agreement with you. In the event of a dispute, you can determine the entity performing the contract with you and the opposing party to the dispute based on the specific services you use and the specific behavioral objects that affect your rights and interests.

4. Cost

4.1 sk has paid a lot of costs for the

services provided by skshopee to you. Except for the services that skshopee expressly provides, the services provided to you by skshopee are currently free of charge. If skshopee charges you a reasonable fee in the future, skshopee will take reasonable measures and pass the legal procedures in advance within a sufficient and reasonable period and notify you in the manner stipulated in Article 8 of this agreement to ensure that you have the right to choose.

V. Limitation of Liability

5.1 [Force majeure and third-party reasons]

skshopee fulfills the basic guarantee obligations in accordance with the law, but skshopee does not assume corresponding breach of contract liability for contract performance obstacles, performance defects, performance delays or changes in performance content caused by the following reasons:

(1) Force majeure factors such as natural

disasters, strikes, riots, wars, government actions, judicial administrative orders, etc.;

(2) Due to power supply failure, communication

network failure and other public service factors or third-party factors;

(3) When skshopee has managed in good

faith, due to routine or emergency equipment and system maintenance, equipment and system failure, network information and data security and other factors.

5.2 [Massive information] In view of the

fact that skshopee has the characteristics of the separation of information and real objects in the environment of massive information and information network, except for the clear provisions of the law, skshopee does not need to conduct any transactions related to all sellers and buyers and other matters related to transactions. Prior review. If illegal/improper behavior such as transaction fraud may violate relevant laws and regulations and this agreement, you acknowledge that skshopee has made reasonable judgments on the relevant content based on the general public perception standards based on the platform-related processes, and skshopee may send inquiries to the seller or request corrections according to different situations notification, or directly delete relevant information, take restrictive measures on the store, or stop the service. Unless skshopee has intentional or gross negligence, skshopee is exempt from the above judgments.

6. User’s breach of contract and handling

6.1 Determination of breach of contract

In any of the following situations, you are

deemed to be in breach of the contract:

(1) Violating relevant laws and regulations

(2) Violation of this agreement;

In order to adapt to the development of

e-commerce and meet the needs of mass users for efficient and high-quality services, you understand and agree that skshopee may stipulate the procedures and standards for the determination of breach of contract in the relevant rules of skshopee. For example: skshopee can determine whether you constitute a breach of contract based on the relationship between your user data and massive user data; you are obliged to provide sufficient evidence and reasonable explanations for your data anomalies, otherwise it will be deemed a breach of contract.

6.2 Measures for breach of contract

[Information Processing] If the information

you posted on skshopee constitutes a breach of contract, skshopee can immediately delete or block the corresponding information or remove or supervise your products according to the corresponding rules.

[Restrictions on Behavior] If your actions

can publish on skshopee the information on the handling measures for your breach of contract and other illegal information confirmed by the effective legal documents of the national administrative or judicial authorities.

7. Changes to the Agreement

skshopee may modify this agreement from

time to time according to changes in national laws and regulations and the need to maintain transaction order and protect consumer rights. The changed agreement (hereinafter referred to as "changes") will go through legal procedures and be notified in the manner stipulated in Article 8 of this agreement you. Once the amendment to this agreement takes effect, it will constitute a supplement to the rights and obligations of you and skshopee and become a part of this agreement.

If you do not agree to the changes, you

have the right to contact skshopee for feedback before the effective date of the changes. If the feedback is adopted, skshopee will adjust the changes as appropriate.

If you still do not agree to the changes

that have taken effect, you should stop using the skshopee seller service from the effective date of the change, and the change will not be effective for you; if you continue to use the skshopee seller service after the change takes effect, It is deemed that you agree to the changes that have taken effect.

8. Notice

8.1 Effective contact information

When you register as a skshopee seller and

accept skshopee seller services, you should provide skshopee with real and effective contact information (including your email address, contact number, contact address, etc.), and you are obliged to promptly change the contact information Update relevant information and remain available.

The member account (including sub-accounts)

generated when you register as a user of the skshopee platform for logging in to the skshopee platform to receive station messages, system messages and instant messages is also used as your effective contact method.

skshopee will send you various notices to

one or some of the above contact methods, and the content of such notices may have a significant beneficial or adverse impact on your rights and obligations, please pay attention to them in time.

8.2 Delivery of notices

skshopee will send you a notice through the

above contact information, including but not limited to an announcement in skshopee, sending a mobile phone message to the contact number you provided, sending an email to the email address you provided, and sending a written notice electronically. The information sent by your account, the system message, and the message in the station are deemed to be delivered after they are successfully sent; the written notice issued in paper media is deemed to be delivered on the fifth natural day after the contact address is mailed. .

For any disputes arising from trading

activities on skshopee, you agree that judicial authorities (including but not limited to people's courts) can serve you legal documents (including but not limited to litigation paperwork). The mobile phone number, e-mail and other contact information you designate to receive legal documents are the mobile phone number, e-mail contact information you provided when you registered and updated on skshopee, and the legal documents issued by the judicial authority to the above contact information are deemed to have been delivered. The mailing address you specify is your legal contact address or the valid contact address you provide.

You agree that the judiciary can use one or

more of the above delivery methods to serve legal documents to you, and the judicial authorities can use multiple methods to serve legal documents to you, and the delivery time is subject to the first delivery method among the above delivery methods .

You agree that the above methods of service

apply to each stage of the judicial process. Such as entering into litigation procedures, including but not limited to first instance, second instance, retrial, enforcement and supervision procedures, etc.

You should ensure that the contact

information provided is accurate, valid, and updated in real time. If the contact information provided is inaccurate, or the changed contact information is not notified in time, so that the legal documents cannot be delivered or are not delivered in time, you shall bear the possible legal consequences arising therefrom.

9. Termination of the Agreement

9.1 Circumstances of Termination

[Seller-Initiated Termination] You have the

right to terminate this agreement by any of the following methods:

(1) You cancel your account through the

self-service of the website when you meet the account cancellation conditions announced by skshopee;

(2) Before the changes take effect, you

stop using and express your unwillingness to accept the changes;

(3) You expressly do not want to continue

to use the seller's services and meet the termination conditions of skshopee.

【Termination initiated by skshopee】When the following situations occur, skshopee may notify you to

terminate this agreement in the manner listed in Article 8 of this agreement:

(1) You violate this agreement, and

skshopee terminates this agreement according to the terms of breach;

(2) skshopee will seal up your account

according to skshopee's rules if you embezzle other people's accounts, publish prohibited information, defraud others of their property, sell fakes, disrupt market order, and take improper means to make profits, etc.;

(3) In addition to the above circumstances,

skshopee seals up your account according to the skshopee rules because you have repeatedly violated the relevant provisions of the skshopee rules and the circumstances are serious;

(4) You have committed fraud, violated the

legal rights of others, or committed other serious violations of the law on the payment or skshopee platform;

(5) Other circumstances where the service

should be terminated.

9.2 Processing after the termination of the

agreement

[User Information Disclosure] After the

termination of this Agreement, skshopee is not obligated to disclose any information in your account to you or a third party you designate, except as clearly stipulated by law.

[Transaction Processing] After the

termination of this agreement, skshopee can notify the counterparty of the transaction and decide whether to close the transaction order according to the wishes of the counterparty of the transaction; if the counterparty of the transaction requires to continue to perform , you shall continue to perform this agreement and the agreement of the transaction order with respect to such transaction order, and bear any losses or any additional expenses arising therefrom.

10. Application of Law, Jurisdiction and

Others

[Applicable law] The conclusion, entry into
